Wendy's Franchisee Closes Stores Amid Legal Battle
11 Oct
Summary
- Wendy's disputes franchisee's planned store closures in court.
- Franchisee Meritage Hospitality Group filed for bankruptcy protection.
- Wendy's claims over $146 million in unpaid royalties from Meritage.
Wendy's is engaged in a significant legal disagreement with Meritage Hospitality Group, one of its largest franchisees. Meritage, operating 314 Wendy's locations, filed for Chapter 11 bankruptcy protection last month and plans to close at least 30 stores.
Wendy's sought to intervene in the planned closures, proposing to swap certain locations for others deemed more suitable for closure. The company even offered to absorb any financial losses Meritage might incur from such a swap. However, Meritage reportedly rejected Wendy's proposal without providing a reason, which Wendy's argued was outside reasonable business judgment.
The disagreement highlights a growing hostility between the two entities. Meritage's financial instability was triggered after Wendy's issued a franchise termination notice, claiming over $146 million in unpaid royalties and fees. Meritage, in turn, has blamed Wendy's for its financial woes, citing ineffective marketing and squeezed profits due to national promotions.
Wendy's considers Meritage a 'former' franchisee and has maintained its position on the termination. Shares of The Wendy's Company have seen a significant decline over the past five years. The company was scheduled to report its third-quarter earnings on November 5.
