UGRO Capital has announced plans to raise up to ₹205 crore by issuing non-convertible debentures (NCDs) through private placement. The decision was made by the company's Investment and Borrowing Committee.
The issuance is divided into two parts. The first involves up to ₹155 crore in secured NCDs with a 12-month tenure, offering a 9.50% annual coupon, payable monthly. These NCDs are scheduled for allotment on March 27, 2026, and will mature on April 18, 2027.
The second part comprises up to ₹50 crore in unsecured, subordinated NCDs. These will have a longer tenure of up to 72 months and carry a higher coupon rate of 13.25% per annum, paid semi-annually. Allotment for these is also expected on March 27, 2026, with maturity on March 27, 2032.
Both the secured and unsecured NCDs are proposed to be listed on BSE Limited. In the event of any delay or default in payments, both instruments will incur an additional 2% annual interest on the outstanding amount.
