Tata & SP Group Near Deal on Tata Sons Stake
17 Jul
Summary
- SP Group seeks to monetize 7% of Tata Sons stake.
- Discussions focus on valuation and transaction structure.
- SP Group aims to repay ₹60,000 crore debt.

Shapoorji Pallonji Group and Tata Sons are currently engaged in renewed discussions concerning the monetization of an estimated 7% stake within the Tata group's holding company. SP Group holds a significant 18.37% interest and is looking to divest a portion to address its substantial debt, estimated at ₹60,000 crore.
Negotiations have encountered hurdles, primarily concerning the valuation of the unlisted Tata Sons shares and the overall structure of a potential transaction. One proposal on the table involves a share-swap arrangement, where SP Group would receive a collection of listed Tata group company shares in exchange for its stake. However, differences persist, particularly regarding the valuation of these unlisted and listed assets.
The Mistry family, which controls SP Group, views Tata Sons' potential listing as the most effective way to unlock value without incurring further debt. This contrasts with Noel Tata's reported opposition to such a listing, adding another layer of complexity to the ongoing deliberations. Discussions have also surfaced within Tata Trusts regarding Noel Tata's involvement, given his familial relation to the Mistry family.
In parallel, SP Group recently secured commitments worth approximately ₹21,500 crore for the initial tranche of its refinancing plan, intended to replace expensive debt with longer-term funding. This refinancing is backed by its Tata Sons stake and requires either an IPO announcement or a stake settlement agreement within 18 months, along with substantial repayment obligations.
