Tata Sons Board Faces Dual Funding & Restructuring Crisis
31 Oct
Summary
- SP Group seeks Rs 25,000 crore via capital reduction for share buyout.
- Tata Trusts propose restructuring to maintain Tata Sons' unlisted status.
- Board meeting on Nov 26 to discuss critical funding and structural proposals.
Tata Sons director Noel Tata has requested the company's board to thoroughly evaluate two critical proposals. The first, submitted by the Shapoorji Pallonji Group, seeks ₹25,000 crore through a capital reduction plan to facilitate a buyout of its shares. This proposal is slated for detailed assessment, including valuation and implementation timelines.
In parallel, Noel Tata, who also chairs Tata Trusts, has called for an examination of the trusts' restructuring plan. This initiative aims to alter Tata Sons' regulatory status, preventing it from being classified as a non-banking financial company (NBFC) or a core investment company (CIC) and thus preserving its unlisted nature.
The board's November 26 meeting will address both these significant financial and structural considerations. The SP Group's plan involves a selective capital reduction, with potential funding from internal cash flows or asset sales. The trusts' proposal includes merging subsidiaries to boost operating revenue and dilute investment proportions.
These discussions follow a September 17 board meeting that revealed divisions on other key issues. The proposals are currently under evaluation and require various approvals, including shareholder consent and regulatory clearance from bodies like the Reserve Bank of India.
