RBI Eases NRI Investment: Buy More Indian Stocks
4 Sep
Summary
- NRI and OCI shareholding limit increased to 10% per person.
- Total overseas investor holding limit raised to 24% of equity.
- New RBI norms simplify direct stock investment for overseas investors.

The Reserve Bank of India (RBI) has revised its norms to simplify share purchases for individuals residing abroad in companies listed on Indian stock exchanges. These changes, announced in June 2026, aim to increase overseas investor participation in India's capital markets.
The updated framework allows a qualifying overseas person to acquire up to 10% of a company's paid-up equity capital, a substantial increase from the previous 5% threshold. Furthermore, the combined ceiling for all Persons Resident Outside India (PROIs) has been expanded to 24% of the paid-up equity capital, up from 10% previously.
This facility is now accessible to a broader category of PROIs, not just NRIs and OCIs. It provides a simpler route for direct exposure to listed Indian companies, potentially bypassing the need for Foreign Portfolio Investor (FPI) registration with SEBI, provided holdings remain within the prescribed limits.
NRIs and OCIs will benefit from greater flexibility in direct equity investments. While these higher thresholds offer more capacity for holdings, investors must still consider crucial factors such as banking and regulatory requirements, taxation, currency risk, repatriation norms, and diversification strategies. Companies and sectors may also have additional foreign ownership caps.
