This situation stems from David Ellison's offer to take Paramount Skydance out of California if the Attorney General and other state AGs do not settle their lawsuit concerning the Warner Bros. merger. Ellison has set an October 1 deadline for settlement talks. Furthermore, Paramount Skydance faces a daily $7 million "ticking fee" to Warner Bros. Discovery shareholders until the deal closes, potentially amounting to $1.3 billion by the trial date.
