Negotiations for a significant merger between Lotte Cinema and Megabox, which aimed to establish South Korea's largest theatrical exhibitor, have officially concluded without a deal. The memorandum of understanding, initially signed in May 2025 and extended multiple times, lapsed on June 30, 2026. The collapse is attributed to a severe financial crisis engulfing Megabox's parent company, JoongAng Group.
The anticipated merger would have significantly reshaped the South Korean cinema landscape, granting the combined entity nearly 50% of the national screen share, surpassing current market leader CJ CGV. However, disagreements over financing, including credit enhancement terms and collateral structure, proved insurmountable. Megabox's limited collateral and JoongAng Group's liquidity troubles prevented the necessary outside investment of up to KRW400 billion ($257.2 million).
The situation escalated on June 14, 2026, when Contentree JoongAng and Megabox JoongAng filed for court-supervised rehabilitation. This move followed a broader liquidity crisis within JoongAng Group, triggered by broadcaster JTBC's default on securitized borrowings. Several JoongAng affiliates, including the parent holding company, filed for rehabilitation, with the Seoul Bankruptcy Court appointing existing management as administrators.
With the merger now defunct, Lotte Cultureworks plans to focus on its own expansion strategies, including enhanced seating and upgraded projection technology, especially after reporting a profitable first quarter. Megabox, conversely, will prioritize cost efficiency and financial stability during its rehabilitation process. A potential future acquisition of Megabox by Lotte, through a pre-approved M&A process, remains a possibility, though it may face antitrust scrutiny.
