IRFC Stake Sale: Mixed Signals for Retail Investors
25 Jun
Summary
- Non-retail investors fully subscribed to the IRFC OFS.
- Government decided to exercise the greenshoe option on the sale.
- Retail investors face moderate return expectations due to concerns.

The non-retail investor portion of the Indian Railway Finance Corporation (IRFC) Offer for Sale (OFS) was fully subscribed on Wednesday, with bids exceeding the reserved shares by 1.86 times. Consequently, the government has decided to exercise the greenshoe option.
IRFC shares fell over 1% to ₹91.55 on Thursday, June 25, as the OFS opened for retail investors. The government is offering up to a 2% stake, with a floor price set at ₹91 per share. This sale is part of a broader government divestment program aiming for ₹80,000 crore by FY27.
Analysts note that while the OFS presents a discount to the market price, the subdued institutional response suggests concerns regarding near-term valuation and potential stake dilution. Long-term investors might consider participation for dividend income and gradual appreciation, but immediate returns are expected to be moderate.
The business remains a stable and strategically important railway financier. However, profit growth has not accelerated at the same pace as revenue growth. Future returns for patient investors are expected to depend more on loan-book expansion and borrowing spreads rather than solely on the railway narrative, especially after the PSU railway re-rating.
