India's Deal Market Soars in 2025: Record Values!

In 2025, India experienced a remarkable surge in deal-making, showcasing robust business resilience and a dynamic market environment. Both cross-border and domestic deal flows remained strong throughout the year, with projections indicating continued growth despite global economic fluctuations.

Data from late 2025 revealed a significant 31% year-on-year increase in PE/VC deal values and a 12% rise in deal counts compared to 2024. Capital markets also saw peak activity during this period.

Sectors poised for continued deal interest include consumer/retail, power/renewable energy, healthcare/wellness, manufacturing, BFSI, and technology, with a specific focus on AI and SaaS.

Significant regulatory enhancements contributed to this success. Liberalization of Press Note 3 of 2020 now permits investors with up to 10% beneficial ownership from bordering countries under the automatic route, with expedited clearances for certain manufacturing investments within 60 days.

Further bolstering the environment, the external commercial borrowing regime was liberalized in February 2025, broadening eligible borrowers and lenders. Changes in end-use restrictions and currency flexibility also support deal financing, including acquisition financing.

Mandatory dematerialization of shares is largely settled, easing transaction bottlenecks. The widened ambit of fast-track mergers will accelerate intra-group restructuring. New Indian Labour Codes and the Digital Data Privacy Act, 2023, necessitate closer due diligence on labor compliance and data handling.
