HDFC Bank AGM: Chairman Exit, CEO Race Heats Up
4 Aug
Summary
- Former chairman resigned citing ethical concerns.
- CEO succession process is delayed; current term ends soon.
- Shareholders to vote on leadership appointments and fundraising.

HDFC Bank is holding its 32nd Annual General Meeting (AGM) on Wednesday, a significant event following the resignation of its former non-executive chairman, Atanu Chakraborty. Chakraborty stepped down, citing ethical concerns, which adds complexity to the bank's current situation. The AGM also occurs as HDFC Bank has not yet initiated the formal process to select a new chief executive officer. This is critical as the current CEO's term concludes in under three months, and regulatory guidelines require the board to submit recommendations six months prior to the incumbent's tenure expiration.
During the meeting, shareholders will be asked to approve the bank's financial statements and the proposed annual dividend. Furthermore, HDFC Bank seeks approval to raise funds through various debt instruments. These include Perpetual Debt Instruments for Additional Tier I Capital, Tier II Capital Bonds, and Long-Term Bonds, intended for financing infrastructure sub-sectors via private placement. The bank also proposes appointing Rajiv Kumar as its new non-executive chairman and has outlined his remuneration package, which includes a fixed annual remuneration of ₹50 lakh, sitting fees, and use of a bank car.
