CarMax Board Adds Directors Amid Activist Pressure
10 Apr
Summary
- CarMax will add two new directors to its board.
- Activist investor Starboard Value influenced the appointments.
- The new directors will bring auto industry and consumer expertise.

CarMax has announced plans to expand its board of directors by adding two new members, Bill Cobb and Jim Kessler, in connection with its 2026 annual shareholder meeting. This decision follows engagement with activist investor Starboard Value, which had previously nominated directors and advocated for strategic changes within the used-car retailer.
Starboard Value, having revealed its investment in CarMax last month, urged the company to enhance its digital customer experience, reduce costs, and revise its pricing strategies. After constructive discussions between Starboard and CarMax, and with the anticipated appointments of Cobb and Kessler, the activist investor has agreed to withdraw its director nominations for the upcoming annual shareholder meeting.
CarMax CEO Keith Barr expressed confidence that the incoming directors will contribute valuable auto industry and consumer insights. Similarly, Starboard's CEO Jeff Smith stated his belief that the newly refreshed board, in collaboration with Barr as the new CEO, is well-positioned to achieve substantial value creation for the company.
