17 Jul
Summary
- Intesa's offer is valued at a 12.5% premium to BMPS's share price.
- BMPS notes Intesa's offer premia are below typical Italian banking deals.
- BMPS is also reviewing a separate proposal from Banco BPM.

Banca Monte dei Paschi di Siena (BMPS) has evaluated early findings regarding Intesa Sanpaolo's acquisition offer. The proposal, which includes Intesa shares and €1 cash per BMPS share, represents a 12.5% premium over BMPS's official share price as of June 5, 2026. However, BMPS's board believes this premium is lower than average for similar Italian banking transactions.
The BMPS board has highlighted several concerns with Intesa's offer. These include potential exposure to market risks due to the significant share component and risks tied to execution and integration. They also noted a potential decrease in market share post-integration and uncertainties surrounding regulatory reviews and proposed divestitures.
Furthermore, BMPS questioned Intesa's projected €2.9 billion in annual pre-tax synergies, deeming them high. Separately, the bank is also conducting a thorough review of a combination proposal from Banco BPM, which could preserve BMPS's businesses, network, and brand. BMPS will continue to assess Intesa's offer while exploring other strategic options.
