Zaslav's $600M Windfall From WBD Sale to Paramount
8 Oct
Summary
- David Zaslav received $600 million from his WBD shares sale.
- Paramount acquired WBD for $110 billion, changing its name to Skydance.
- Executives and board members were required to register stock sales.

David Zaslav, the former CEO of Warner Bros. Discovery (WBD), experienced a significant financial gain, netting approximately $600 million from the sale of his WBD shares. This occurred as Paramount finalized its acquisition of WBD on October 6th, a deal initially valued at $110 billion and announced in February. Following the acquisition, WBD was renamed Skydance.
The terms of the merger stipulated that Paramount would acquire all outstanding WBD shares at a price of $31 per share. Executives and board members of the former WBD were obligated to register these stock sales, a standard regulatory procedure.
This transaction followed a series of negotiations where WBD's leadership, including Zaslav, reportedly rejected earlier takeover offers from David Ellison's Skydance, which had started at a lower valuation. Paramount's final offer included additional incentives, such as a daily ticking fee if the deal's closure was delayed, and equity financing backstopped by Larry Ellison.
A company spokesperson highlighted that the merger also benefited a broader group of WBD employees. Zaslav had previously increased the number of employees holding equity in the entity formed by the merger of Discovery and Warner Media, enabling many others to also cash in their shares at the $31 price point.
