20 Feb
Summary
- UPL will restructure into two listed entities: UPL and UPL Global Sustainable Agri Solutions.
- Promoters' stake shifts to 33.1% in UPL and 71.6% in UPL Global.
- The restructuring aims to simplify the structure and create a focused crop protection platform.

Indian agrochemical multinational UPL is undergoing a significant business restructuring, which will result in two distinct listed entities. The existing UPL will merge with UPL Sustainable Agri Solutions (UPL SAS). Concurrently, its India crop protection business will be demerged into UPL Global Sustainable Agri Solutions, which will also absorb UPL Crop Protection.
This strategic move is designed to simplify UPL's corporate framework and cultivate a specialized platform for crop protection. Upon completion of the scheme, promoters are set to hold a 33.1% share in the restructured UPL, with public shareholders retaining 66.91%. In the newly formed UPL Global Sustainable Agri Solutions, promoter ownership will stand at 71.6%, and public shareholders at 28.4%.
The company anticipates that the entire restructuring process will be finalized within the next 12 to 15 months. This strategic realignment is expected to enhance operational focus and potentially unlock further value for stakeholders across its diverse agrochemical businesses.
