UPL Ltd. is injecting approximately $86.7 million (BRL 450 million) into its Brazilian associate, Sinova Inovações Agrícolas S.A., to strengthen the business. This equity infusion will be executed by UPL's step-down subsidiary, United Phosphorus Holdings Brazil B.V. (UPL Brazil).
Following this strategic investment, UPL Brazil's ownership in Sinova will rise from 49.97% to 55.81%. Despite this increased stake, Sinova will retain its classification as an associate company, as UPL will not assume overall control. The capital injection is aimed at addressing Sinova's immediate working capital needs and facilitating debt reduction efforts.
Sinova plays a pivotal role in marketing and reselling UPL's agricultural products across Brazil's Cerrado savanna region. This area is recognized as one of the nation's most significant agricultural zones, underscoring Sinova's strategic importance to UPL's operations in Brazil.
