SML Mahindra Eyes Market Dominance
30 Aug
Summary
- SML Mahindra to acquire Mahindra's Truck and Bus Division.
- Deal could nearly double SML Mahindra's vehicle volumes.
- Company aims for 10-12% market share by FY31.

SML Mahindra's board approved the ₹525-crore acquisition of Mahindra & Mahindra's Truck and Bus Division (MTBD) on July 29, 2026. This slump sale is anticipated to nearly double SML Mahindra's annual volumes, enhancing its commercial vehicle offerings.
The acquisition is a strategic step to transform SML Mahindra into a comprehensive commercial vehicle maker, directly challenging Tata Motors and Ashok Leyland. Previously a niche player, SML Mahindra will gain a presence across light, intermediate, and heavy commercial vehicles, along with buses.
This integration is expected to conclude by January 31, 2027, subject to approvals. The combined business generated ₹5,827 crore in revenue in FY26, with SML Mahindra targeting over ₹12,500 crore by FY31 and increasing its domestic CV market share to 10-12% by then.
Despite the planned expansion, the combined entity will still be smaller than Tata Motors and Ashok Leyland. However, complementary product portfolios and Mahindra & Mahindra's backing provide a strong foundation for growth.
A favorable demand backdrop, including a GST rate cut and government infrastructure spending, coupled with an aging CV fleet in India, creates a significant opportunity for replacement and growth. The market has already reacted positively, with SML Mahindra's share price surging over 40% on the acquisition announcement.
