Shein is set to launch its initial public offering in Hong Kong next month, facing a more challenging global economic climate than when it first considered listing its shares five years ago. The online retail giant has been actively working to address environmental, social, and governance (ESG) issues, which previously led to regulatory scrutiny and fines in several countries. These concerns continue to loom over the company's upcoming stock market debut.
Regulatory bodies, including the European Commission and the U.S. Federal Trade Commission, are investigating Shein. Previous investigations resulted in penalties for alleged fake discounts in France and greenwashing in Italy. In response, Shein has enhanced its sustainability reporting, expanded its ESG advisory board, and increased supplier audit scores. However, many investors and analysts remain concerned about labor practices within its supply chain, traceability, environmental impact, and the inherent sustainability challenges of its ultra-fast fashion business model.
Further complicating matters is Shein's proposed dual-class share structure, which would grant its four co-founders 90% of the voting rights despite holding a smaller percentage of overall shares. This structure, combined with the CEO also holding the chairman role and a limited number of independent directors, raises concerns about independent oversight and potential misalignment with minority shareholders. The company's reported greenhouse gas emissions also double those of Inditex, despite lower sales figures, drawing further environmental criticism.
