Religare's Two-Step Value Unlocking Plan
31 May
Summary
- Demerger separates financial services into RFL, leaving pure-play Care Health.
- Promoters need 25% in Care for a potential reverse merger.
- Step 1 demerger is priced in; Step 2 holds future value potential.

Religare Enterprises (REL) is executing a strategic two-step demerger to unlock shareholder value. The first step, effective February 14, 2026, involves carving out REL's entire financial services business, including its NBFC, broker, and housing finance arms, into its subsidiary Religare Finvest Limited (RFL). This will leave REL as a pure-play holding entity for Care Health Insurance, India's second-largest standalone health insurer.
This restructuring aims to address the market's difficulty in valuing REL's diverse businesses under one roof. By separating them, each entity can attract sector-specific investors and achieve independent valuations, eliminating the holding-company discount. The conditions for this demerger, including promoter clarity and regulatory cleanup, were met by February 2026.
The second, unannounced step is crucial for unlocking maximum value. A potential reverse merger of Care Health Insurance into REL is contingent on the Burman family promoters achieving at least a 25% look-through stake in Care, a threshold they currently do not meet. This regulatory hurdle, imposed by the IRDA, must be overcome for the merger to proceed.
As of May 31, 2026, the first demerger step is largely reflected in REL's current market price. The significant upside potential lies in the future execution of Step 2, which would collapse the holdco discount on Care Health Insurance. However, this future re-rating depends on regulatory approvals and the promoters' ability to increase their stake to the required level.
