Persistent Systems has announced an all-cash offer to acquire Nagarro, a German-listed entity, for approximately $1.6 billion. This strategic acquisition is designed to significantly enhance Persistent's technology services footprint within the European market. The offer represents a substantial premium over Nagarro's previous closing prices.
Nagarro, headquartered in Munich, reported EUR 1 billion in revenue for CY25 and employs over 18,500 individuals across 40 countries. Its acquisition by Persistent is expected to be cash EPS accretive for Persistent shareholders in the first year, projecting combined revenues of $2.9 billion and a workforce of 46,000 employees globally.
The deal structure involves Persistent's subsidiary, Galaxy Germany Holding SE, acquiring a 21% stake from Lantano Beteiligungen GmbH, the largest Nagarro shareholder. Persistent will secure EUR 1.4 billion in bridge financing from Barclays Bank PLC for this transaction. The offer is contingent upon a minimum acceptance threshold of 50% plus one share, with closing anticipated in Q4 CY26 or Q1 CY27. Persistent intends to delist Nagarro shares from the Frankfurt Stock Exchange post-acquisition.
