Paramount Merger Delayed Amid Legal Battles
24 Jul
Summary
- Merger agreement suspended until 2027 pending lawsuits.
- Antitrust trial schedule to be determined by July 31.
- A ticking fee of 25 cents per share applies if delayed.

Paramount has agreed to significantly delay its merger with Warner Bros. Discovery, potentially pushing the completion date to 2027. This decision comes in response to lawsuits filed by state attorneys general and the Writers Guild of America on antitrust grounds. The agreement, if approved by a judge, would suspend the merger pending the conclusion of an antitrust trial or until June 1, 2027.
This postponement also accelerates the timeline for the antitrust trial, with a schedule expected by July 31. Should the companies remain unmerged after September 30, Paramount faces a "ticking fee" of 25 cents per share, payable to Warner Bros. Discovery for each quarter of delay.
Attorneys general from 12 states initiated a joint lawsuit on July 13, asserting antitrust concerns. The WGA filed a similar suit the following day, expressing its view that the merger is unlawful and vowing to continue its opposition.
