27 Jul
Summary
- Bain Capital is set to buy up to 25% of IndusInd General Insurance.
- The deal values the insurer at over ₹16,000 crore.
- This marks Bain's initial direct investment in India's general insurance sector.

US private equity firm Bain Capital is reportedly in advanced talks to purchase up to a 25% stake in IndusInd General Insurance. This potential transaction could value the Indian insurer at ₹16,000 crore or higher.
This would signify Bain Capital's inaugural direct investment within India's general insurance landscape. The firm is anticipated to invest between ₹4,000 to ₹5,000 crore for the stake, with valuation projected at 1.3 to 1.7 times its gross written premium (GWP) of approximately ₹12,000 crore.
Financial, legal, and operational due diligence by Bain Capital has reportedly concluded. The deal is anticipated to be finalized by the end of August or early September, with current negotiations centering on valuation and final commercial agreements. Bain views this as a medium- to long-term strategic investment rather than a short-term financial play.
IndusInd General Insurance reported a 2.5% decrease in GWP to ₹12,236 crore in FY26, a period when the overall industry saw 9% growth. Its market share was 3.64% as of March 2026. The company operates across retail, commercial, and crop insurance segments, with recent efforts to expand its health and fire insurance portfolios. The insurer secured ₹450 crore in March 2026 to bolster its solvency position, which stands above 1.60 times.
IIHL acquired Reliance Capital in March 2025 and subsequently holds a significant stake in IndusInd General Insurance. The company's current ownership structure includes IIHL, Aasia Enterprises LLP, and employee holdings. Barclays is advising IIHL on this proposed stake sale.
