AST SpaceMobile has priced a $1 billion private offering of convertible senior notes maturing in 2034. These notes come with a 1.625% interest rate and an initial conversion price of $79.57 per share, which is a 20% premium to its July 15 closing price. The financing is structured as senior unsecured debt that holders can convert into AST SpaceMobile equity under certain conditions before the maturity date.
This financial maneuver aims to raise capital while potentially offering lower borrowing costs. However, such convertible debt offerings can lead to future dilution of existing shares if the notes are converted. In reaction to the pricing, AST SpaceMobile shares saw a considerable decline, dropping more than 12% in after-hours trading after already closing down 3.6% during the regular session.
