Summary
- NCLT, Chennai approves composite scheme for corporate restructuring.
- Scheme involves restructuring of digital and pharmacy businesses.
- Further stakeholder approvals and tribunal sanction are pending.

Apollo Hospitals Enterprise has received a significant regulatory endorsement for its ambitious corporate restructuring plan. On March 26, 2026, the National Company Law Tribunal (NCLT), Chennai bench, sanctioned the company's application for a composite scheme of arrangement.
This approval marks a key step in restructuring Apollo's digital and pharmacy businesses, which are spread across Apollo Hospitals Enterprise Ltd, Apollo Healthco Ltd, Keimed Pvt Ltd, and Apollo Healthtech Ltd. The scheme aims to spin off the omnichannel pharma and digital health business into a new, yet-to-be-named entity.
Following the NCLT's order, Apollo Hospitals Enterprise is now required to convene meetings for its equity shareholders, secured creditors, and unsecured creditors to seek their approval for the scheme. The company had previously obtained 'no-objection' letters from the NSE and BSE in December, and approval from the Competition Commission of India (CCI) in September. The restructuring is pending final tribunal sanction and these crucial stakeholder approvals.
